COCOBOD DDE: EXTENSION OF OFFER CLOSURE DATE FOR THE COCOA BILLS EXCHANGE PROGRAMME

We refer to the debt securities exchange programme launched by the Ghana Cocoa Board (COCOBOD) on 14 July 2023 (the Exchange Programme).

This press release is to announce that in accordance with the exchange memorandum issued by COCOBOD (with the approval of the Securities and Exchange Commission) in relation to the Exchange Programme (the Exchange Memorandum), the offer period for the Exchange Programme has (with the approval of the Securities and Exchange Commission) been extended from 4 August 2023 until 4pm on 18 August 2023. The new timetable for the invitation is as follows:
(a) Extension Expiration Date: Friday, 18 August 2023 at 4:00 p.m.
(b) Announcement Date: On or about Monday, 21 August 2023.
(c) Settlement Date: Friday, 25 August 2023, or as soon as practicable thereafter.

We urge all persons who intend to participate in the Exchange Programme to endeavour to submit their applications by 4pm on 18 August 2023 (unless otherwise extended by COCOBOD in its sole discretion and with the prior approval of the Securities and Exchange Commission). An offer (once made) cannot be revoked or withdrawn at any time except in the limited circumstances described in the Exchange Memorandum.

All other dates in the transaction timetable as outlined in the Exchange Memorandum remain unaffected and unchanged unless otherwise varied by COCOBOD (in its sole discretion and with the prior approval of the Securities and Exchange Commission).
